Welcome to WebWynk. By accessing our website at webwynk.com or engaging with any of our services — including Web Development, App Development, UI/UX Design, Social Media Marketing, Search Engine Optimization (SEO), and Graphic Design — you acknowledge that you have read, understood, and agree to be legally bound by the following Terms & Conditions. If you do not agree, please discontinue use of our website and services immediately.

1. Company Information

WebWynk is a results-driven digital marketing and web development agency registered and operating out of Sector V, Kolkata, India, with an additional management presence in the United States. We provide professional digital services to businesses, startups, entrepreneurs, and organizations worldwide.

2. Acceptance of Terms

By visiting, browsing, requesting a quote, booking a consultation, or purchasing any service from WebWynk, you confirm that:

  • You are at least 18 years of age or are accessing the site with the consent of a parent or legal guardian.
  • You have the legal authority to enter into a binding agreement on behalf of yourself or your organization.
  • You agree to comply with all applicable local, national, and international laws and regulations.
  • You have reviewed and accepted these Terms & Conditions in their entirety.

These Terms constitute a legally binding agreement between you ("Client" or "User") and WebWynk ("Agency," "we," "us," or "our").

3. Scope of Services

WebWynk provides the following professional digital services:

  • Web Development: Custom website design and development using WordPress, WooCommerce, Webflow, React, PHP, Laravel, and other modern frameworks — optimized for performance, security, and SEO.
  • App Development: Scalable Android and iOS mobile application development tailored to your business requirements.
  • UI/UX Design: Conversion-focused user interface and experience design for websites, apps, and digital platforms.
  • Search Engine Optimization (SEO): Comprehensive on-page, off-page, technical, and local SEO strategies to improve rankings, organic traffic, and lead generation.
  • Social Media Marketing: Results-driven social media strategy, content creation, community management, and paid advertising across platforms including Facebook, Instagram, LinkedIn, and more.
  • Graphic Design: Professional branding, logo design, marketing collateral, and visual identity creation.

The exact scope of work for each project will be detailed in a separate Service Agreement, Project Proposal, or Statement of Work (SOW) agreed upon prior to commencement.

4. Client Responsibilities

To ensure the successful delivery of services, the client agrees to:

  • Provide accurate, complete, and timely information required for project execution including brand assets, content, login credentials, and business details.
  • Designate a single point of contact or project coordinator to facilitate communication.
  • Respond to communications, review deliverables, and provide feedback within agreed-upon timeframes to prevent project delays.
  • Make timely payments in accordance with the agreed payment schedule.
  • Ensure that all materials submitted to WebWynk (logos, images, copy, etc.) are owned by the client or properly licensed, and do not infringe upon any third-party intellectual property rights.
  • Obtain all necessary regulatory approvals, licenses, or permissions required for their business operations and digital presence.

5. Project Timelines & Delivery

WebWynk will make every reasonable effort to deliver projects within the estimated timelines communicated at the start of each engagement. Typical timelines are:

  • Standard business websites: 1–3 weeks
  • E-commerce or complex websites: 3–6 weeks
  • Mobile applications: 6–16 weeks depending on features
  • SEO campaigns: Ongoing, with initial setup within 1–2 weeks
  • Graphic design projects: 3–7 business days per deliverable

Timelines are estimates and may be affected by client response times, scope changes, third-party platform dependencies, or unforeseen technical complexities. WebWynk will communicate any delays promptly and work to minimize their impact.

Important: Delays caused by the client's failure to provide required content, approvals, or feedback will not be considered a breach by WebWynk and may result in revised delivery timelines or additional charges.

6. Payment Terms

All payments are governed by the specific agreement made at the time of project initiation. General payment terms include:

  • Advance Payment: A deposit (typically 50% of the total project fee) is required before any work commences. This deposit is non-refundable once creative or development work has begun.
  • Milestone Payments: For larger projects, payments may be structured across project milestones as outlined in the project proposal.
  • Final Payment: The remaining balance is due upon project completion and prior to final delivery or launch.
  • Recurring Services: Monthly retainer services (SEO, Social Media Marketing) are billed at the start of each monthly cycle and must be paid in advance.

Accepted payment methods include PayPal and Wise (international bank transfer). For domestic Indian clients, bank transfer via NEFT/IMPS is also accepted.

All prices are quoted in USD (United States Dollars) for international clients and INR (Indian Rupees) for domestic clients unless otherwise agreed in writing. Applicable taxes including GST (for Indian clients) will be added where required by law.

7. Intellectual Property Rights

Ownership of Deliverables: Upon full and final payment of all outstanding invoices, WebWynk transfers ownership of the custom-designed/developed deliverables (final website files, design assets, application code) to the client, subject to any third-party licenses.

Third-Party Components: Deliverables may incorporate licensed third-party elements such as premium WordPress themes, plugins, stock photography, fonts, or JavaScript libraries. The client is responsible for maintaining any ongoing license fees required for these components.

WebWynk Portfolio Rights: Unless the client explicitly requests confidentiality in writing, WebWynk reserves the right to display completed work in its portfolio, case studies, social media, and marketing materials.

Pre-existing IP: WebWynk retains all rights to its proprietary tools, frameworks, methodologies, and pre-existing intellectual property used in the delivery of services.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement, including but not limited to business strategies, customer data, financial information, technical specifications, and login credentials. This obligation survives the termination of any service agreement.

WebWynk will never sell, share, or distribute your confidential business information to any third party without your explicit written consent, except where required by law.

9. Revisions & Change Requests

Each project includes a defined number of revision rounds as stated in the project proposal. Revisions refer to minor adjustments within the original agreed scope.

  • Requests that significantly alter the original scope, design direction, or functionality will be treated as change requests and may incur additional charges.
  • Additional revisions beyond the included rounds will be quoted separately on an hourly or fixed basis.
  • All change requests must be submitted in writing via email to [email protected] to be formally acknowledged and acted upon.

10. Limitation of Liability

To the fullest extent permitted by law, WebWynk's total liability for any claims arising from or related to our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

WebWynk shall not be liable for any indirect, incidental, consequential, punitive, or special damages including but not limited to loss of profits, loss of revenue, loss of data, loss of business, or loss of goodwill, even if WebWynk has been advised of the possibility of such damages.

Disclaimer of Guarantees: While WebWynk employs proven strategies and best practices, we do not guarantee specific rankings, traffic levels, conversion rates, or revenue outcomes from any digital marketing or SEO campaign, as these are influenced by numerous external factors beyond our control.

11. Termination

Either party may terminate a service agreement with 15 days' written notice. Upon termination:

  • The client shall pay for all work completed up to the termination date.
  • WebWynk will deliver all completed work and project assets to the client upon receipt of final payment.
  • Non-refundable advance payments will not be returned unless WebWynk is found to be in material breach of the agreement.
  • Retainer/subscription services cancelled mid-cycle will not receive a prorated refund for the unused period.

12. Governing Law & Dispute Resolution

These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.

If a resolution cannot be reached within 30 days of written notice of a dispute, the matter shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Kolkata, West Bengal, India. The language of arbitration shall be English.

12. Amendments

WebWynk reserves the right to modify these Terms & Conditions at any time. The updated version will be posted on our website with a revised "Effective Date." Continued use of our services after the posting of changes constitutes your acceptance of the revised Terms.
